By subscribing to paid Services, you authorize us to charge applicable fees using your selected payment method.

Subscriptions may renew automatically unless canceled before renewal.

All fees are generally non-refundable except where required by law or explicitly approved by NexoFlow at its sole discretion.

We reserve the right to modify pricing, plans, and usage limits at any time.

6. AI-Generated Content Disclaimer

The Services use artificial intelligence and machine learning systems to generate outputs.

AI-generated content may:

• contain inaccuracies
• contain hallucinations
• contain unintended similarities
• require human review
• produce inconsistent results
• generate outputs similar to content generated for others

Users are solely responsible for reviewing, editing, approving, and validating all generated outputs before publication or use.

NexoFlow does not guarantee:

• factual accuracy
• legal compliance
• uniqueness
• performance outcomes
• copyright eligibility
• platform approval

7. User Content and Uploaded Assets

Users retain ownership of content uploaded to the Services.

However, by uploading content or using the Services, you grant NexoFlow a limited, worldwide, non-exclusive, royalty-free license to:

• host
• store
• process
• reproduce
• analyze
• adapt
• modify
• resize
• publish
• display
• transmit
• generate derivative outputs

solely for purposes of operating, maintaining, improving, and providing the Services.

This includes:

• uploaded images
• videos
• logos
• branding assets
• prompts
• campaign materials
• customer media
• business content

Users represent and warrant that they possess all necessary rights, permissions, licenses, and consents for uploaded materials.

8. Internal Platform Optimization

Users acknowledge and agree that NexoFlow may use anonymized and aggregated usage data, engagement data, generated outputs, feedback signals, embeddings, retrieval references, and system interactions to:

• improve platform performance
• improve AI-assisted systems
• improve retrieval systems
• improve generation quality
• improve recommendation systems
• improve workflows and automation
• improve quality assurance systems
• improve visual consistency

NexoFlow does not use private customer-uploaded content to train public foundation AI models unless explicitly disclosed otherwise.

9. Connected Accounts and Publishing

The Services may allow users to connect third-party platforms including:

• Facebook
• Instagram
• LinkedIn
• TikTok
• X/Twitter
• Pinterest
• Google Business Profile
• WordPress
• Canva
• Google Drive
• other third-party integrations

Users are solely responsible for:

• maintaining valid access permissions
• complying with third-party platform rules
• reviewing content before publishing
• ensuring scheduled or automated content is appropriate

NexoFlow is not responsible for:

• rejected posts
• suspended social accounts
• platform policy violations
• API limitations
• outages
• third-party platform changes

10. Acceptable Use

Users may not use the Services to:

• violate laws
• infringe intellectual property
• upload harmful code
• abuse APIs
• interfere with platform operations
• generate unlawful or abusive content
• impersonate others fraudulently
• scrape unauthorized data
• circumvent limitations
• violate privacy rights
• engage in fraudulent or deceptive practices

We reserve the right to suspend or terminate accounts for violations.

11. Intellectual Property

The Services, including:

• software
• workflows
• interfaces
• branding
• datasets
• retrieval systems
• automation systems
• recommendation systems
• platform technology

are owned by NexoFlow LLC and protected by intellectual property laws.

Users may not:

• reverse engineer the Services
• reproduce proprietary systems
• resell unauthorized access
• copy platform technology
• misuse proprietary workflows

except as permitted by law.

12. Generated Content Ownership

Subject to applicable law and third-party AI provider restrictions:

• users generally own generated outputs created through the Services
• users are solely responsible for reviewing and validating outputs before use
• users assume all risks associated with publishing or commercial use of generated content

NexoFlow makes no representations regarding:

• copyright ownership
• exclusivity
• non-infringement
• legal enforceability of generated outputs

13. Third-Party Services and APIs

NexoFlow relies on third-party providers and APIs.

We are not responsible for:

• service interruptions
• outages
• API limitations
• policy changes
• data loss caused by third-party providers
• third-party account restrictions
• pricing changes from third-party services

14. Availability and Service Changes

We do not guarantee uninterrupted or error-free operation of the Services.

Features may:

• change
• be modified
• be discontinued
• experience downtime
• become unavailable

without liability.

15. Beta and Experimental Features

Certain features may be identified as beta, experimental, preview, or early access features.

Such features are provided:

16. Limitation of Liability

• platform account suspensions
• third-party platform actions

Total liability arising from the Services shall not exceed the amount paid by the user to NexoFlow during the twelve (12) months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless NexoFlow LLC and its affiliates from claims, liabilities, damages, losses, and expenses arising from:

• uploaded content
• generated content use
• violations of law
• infringement claims
• misuse of the Services
• connected account activity
• unauthorized uploads

18. Termination

We reserve the right to suspend or terminate access to the Services:

• for violations of these Terms
• for abuse or misuse
• for unlawful activity
• for security concerns
• at our sole discretion

Users may stop using the Services at any time.

19. Data Retention and Deletion

Users acknowledge that:

• uploaded assets may be retained indefinitely
• generated outputs may be retained indefinitely
• anonymized analytics and system optimization data may be retained indefinitely
• embeddings, retrieval references, and feedback systems may continue to exist after content deletion requests

where permitted by law and reasonably necessary for operational, security, research, quality assurance, and platform improvement purposes.

THE SERVICES ARE PROVIDED:

"AS IS" AND "AS AVAILABLE"

WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by law, NexoFlow disclaims all warranties including:

• merchantability
• fitness for a particular purpose
• non-infringement
• uninterrupted availability
• error-free operation
• reliability of AI-generated outputs

21. Governing Law

These Terms shall be governed by and construed under the laws of the State of Texas, without regard to conflict-of-law principles.

22. Arbitration and Class Action Waiver

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Texas, except where prohibited by law.

Users agree to waive any right to participate in class actions, class arbitrations, or representative proceedings.

23. Changes to These Terms

We may modify these Terms periodically.

Continued use of the Services after updated Terms are posted constitutes acceptance of the revised Terms.
